Magellan Beta Terms

The Magellan Beta (“Beta Product” or “Beta”) is offered by Intuit Inc. and/or its subsidiaries and affiliates (referred to as “Intuit”, “we”, “our”, or “us”). These Beta Terms (“Beta Terms”) constitute a legal agreement between you and Intuit governing the use of the Beta Product, a mobile application designed to proactively provide assistance for daily schedules, meetings and financial tasks leveraging artificial intelligence. If you are an individual using the Beta Product on behalf of another person, whether an individual or a company, you and such person are both bound by these Beta Terms. You, any other person that you represent and any authorized user of your account are collectively referred to as “you.”


By clicking “I Agree,” indicating acceptance electronically, or by installing, accessing or using the Beta Product, you agree with these Beta Terms and establish its Effective Date. If you do not agree with these Beta Terms, then you may not use or access the Beta Product.

These Beta Terms supplement and do not replace any other agreement you may have with Intuit, which may include but it not limited to the “QuickBooks Terms of Service,” the “QuickBooks Desktop and Payroll End User License Agreement,” the “Intuit Enterprise Suite Terms of Service,” or the Mailchimp’s Standard Terms of Use (collectively, the “Intuit Terms.”) Capitalized terms used and not otherwise defined in these Beta Terms have the meanings given to those terms in the Intuit Terms. You understand and agree that:


Part A: Your Participation in the Beta


  1. You must be at least 18 (eighteen) years of age and capable of forming a binding contract with Intuit to participate in the Beta and to use the Beta Product.
  2. You must not be based in Cuba, Iran, North Korea, Syria, the Crimea, Donetsk (“DNR”), and Luhansk (“LNR”) regions of the Ukraine or any other territory that is subject to a government embargo or comprehensive sanctions (Russia), or are not otherwise prohibited from using Magellan under the laws and regulations of the United States, or any other applicable jurisdiction.
  3. You are not included in lists maintained by the United States or other applicable jurisdictions prohibiting transactions with and the export of US products to certain entities, people, and jurisdictions.
  4. You must have an active QuickBooks account or Intuit Enterprise Suite account connected to the Beta Product. 
  5. You will be participating in and using the beta version of the Beta Product. “Beta” means a feature, function, or technology that Intuit is making available to you that has not been made generally available to all of our customers or the public and that is for evaluation or testing purposes only. 
  6. You may provide or we may ask you to provide feedback, suggestions and/or ideas on the Beta Product ("Feedback"). We may use any Feedback you choose to provide (i) to improve or make modifications to the Beta Product, (ii) to develop new features, products and service, and (iii) in our advertisement or marketing materials. You understand that you will not receive any compensation for your Feedback. You grant us a perpetual, worldwide, fully transferable, sub-licensable, irrevocable, fully paid-up, royalty free license to use and incorporate your Feedback at our discretion. 
  7. The existence, name, design and functionality of the Beta Product and all of the information provided to or disclosed to you relating to the Beta Product is Intuit’s intellectual property and confidential information (“Confidential Information”). You agree not to disclose, use, reproduce, display, copy or distribute any Confidential Information to another party without the express, prior written permission of Intuit. You further agree that any unauthorized use of Confidential Information could cause Intuit irreparable harm in such a manner that remedies at law may be inadequate. Therefore, in addition to any other rights Intuit may have at law, Intuit  may be entitled to seek equitable relief, including temporary and permanent injunctive relief (meaning we may request a court order to stop you). This section survives any expiration or termination of these Beta Terms.
  8. Certain functionality available in other Intuit products or in your Intuit account may be limited not be available for this Beta Product. By participating in the Beta, you acknowledge and understand that this functionality is not available for the Beta.
  9. WITHOUT LIMITING ANY OTHER DISCLAIMERS IN INTUIT TERMS, YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR ACCESS TO AND USE OF THE BETA PRODUCT IS AT YOUR SOLE RISK, AND THAT THE BETA PRODUCT IS PROVIDED ON AN "AS IS", “AS AVAILABLE”, AND “WITH ALL FAULTS BASIS”, AND IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTUIT DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED WITH RESPECT TO THE BETA PRODUCT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, INTUIT DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY AND ALL (I) WARRANTIES OF MERCHANTABILITY, TITLE, OR FITNESS FOR A PARTICULAR PURPOSE; (II) WARRANTIES AGAINST INFRINGEMENT OF ANY THIRD-PARTY INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS; (III) WARRANTIES RELATING TO DELAYS, INTERRUPTIONS, ERRORS, OR OMISSIONS IN THE BETA PRODUCT, OR ANY PART THEREOF; (IV) WARRANTIES THAT THE BETA PRODUCT IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (V) WARRANTIES RELATING TO THE ACCURACY OR CORRECTNESS OF THE BETA PRODUCT, OR ANY CONTENT OR OTHER MATERIAL GENERATED USING THE BETA PRODUCT; (VI) WARRANTIES RELATING TO PRIVACY OR SECURITY OF THE BETA PRODUCT OR OTHERWISE RELATING TO PERFORMANCE, NONPERFORMANCE, OR OTHER ACTS OR OMISSIONS BY INTUIT OR ANY THIRD PARTY; AND (VII) WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING OR USAGE OF TRADE. FURTHER, AND WITHOUT LIMITING THE GENERALITY OF ANY OF THE FOREGOING, THERE IS NO WARRANTY THAT THE BETA PRODUCT, OR ANY CONTENT OR OTHER MATERIAL GENERATED THEREBY, WILL MEET YOUR NEEDS OR REQUIREMENTS OR THE NEEDS OR REQUIREMENTS OF ANY OTHER PERSON. INTUIT MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, THAT YOUR ACCESS TO OR USE OF THE BETA PRODUCT WILL BE FREE FROM ERROR, INACCURACIES, OMISSIONS, INTERRUPTION, DEFECT, OR DELAY. INTUIT IS NOT LIABLE TO YOU IF, FOR ANY REASON, THE BETA PRODUCT IS UNAVAILABLE AT ANY TIME OR FOR ANY PERIOD.  THE CONTENT AND OTHER MATERIAL THAT IS GENERATED USING THE BETA PRODUCT MAY NOT BE PROTECTABLE UNDER LAW, AND INTUIT MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, THAT ANY SUCH MATERIAL IS PROTECTABLE UNDER LAW, INCLUDING UNDER ANY COPYRIGHT OR OTHER INTELLECTUAL PROPERTY OR PROPRIETARY RIGHTS LAW.
  10. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW THE DISCLAIMER OF IMPLIED OR OTHER WARRANTIES SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.


Part B: Important Things for You to Know


  1. Intuit may modify, suspend or discontinue its Platform, Services and the Beta Product, including its name and design, at any time (without any notice to you). Intuit may limit, suspend, or terminate Beta Product or your participation in or access to the Beta Product at any time, with or without cause. And if we do so, we are not in any way liable to you for any modification, suspension, termination, or discontinuation.
  2. Intuit may modify or change these Beta Terms from time to time. If we modify or change these Beta Terms in a material way, we will provide you notice that the Beta Terms have changed. Any modifications or changes will be effective immediately and apply to your continued use of the Beta Product.


Part C: The Service


  1. The Beta Product may allow you to connect your account to third-party products and services. Intuit does not warrant, and is not responsible for, such third-party products and services or claims made about them, including availability, accuracy, security or reliability, or the actions or inactions of any third party. You must review and comply with any applicable third-party terms, including any applicable privacy practices of those third parties prior to connecting the Beta Product to those third-party products and services.
  2. Only third-party products and services used for business purposes may be connected to the Beta Product. Do not connect third-party products and services that are for personal use (i.e., you may connect a business email account but you should not connect your personal email account to the Beta Product). You represent and warrant that all third-party connections to the Beta Product are business products and services.
  3. If you connect third-party products and services offered by Google, use of information received from Gmail APIs will adhere to the Google User Data Policy, including the Limited Use requirements and the Google APIs Terms of Service.
  4. The Beta Product uses artificial intelligence to optimize your experience. While artificial intelligence is designed to improve your experience, it is evolving, may have limitations, and may generate outputs that are inaccurate or inappropriate to your situation. Information generated by artificial intelligence may not be unique.
  5. We may use artificial intelligence to process personal information about your customers, vendors, and prospects (defined as “Business Connection Data” in the QuickBooks Terms of Service). All processing of Business Connection Data through the Beta Product  is subject to the relevant sections of the QuickBooks Terms of Service, the Intuit Global Privacy Statement and the QuickBooks Online Data Processing Agreement. 
  6. We reserve the right to charge for the Beta Product with prior written notice.


Part D: Use


  1. If you choose to use the Beta Product's recording feature(s), you agree that you will never record any person who does not want to be recorded. Notwithstanding that Beta Product plays a clear and conspicuous audible notice prior to recording, you are solely responsible for ensuring that all parties consent to being recorded. If at any time anyone objects to being recorded, you will cease recording immediately.
  2. You also agree that you will not: 
  3. create or send any content that is unlawful, harmful, threatening, abusive, vulgar, obscene, defamatory, pornographic, invasive of another’s privacy, or is otherwise objectionable;
  4. create or send any content related to alcohol, tobacco, weapons, cannabis, vaping, health, or financial advice;
  5. impersonate any person or entity or falsely state or otherwise misrepresent an affiliation with a person or entity (or create or send any content that does so);
  6. use or attempt to use the Beta Product for any purpose that is in violation of any applicable law, would create any legal obligations or liability for Intuit, or is otherwise an infringement on the copyright, trademark, privacy, publicity, or other proprietary right of any third party.
  7. access, attempt to access or use the Beta Product to engage in any form of benchmarking or competitive intelligence research or analysis, which includes leveraging data or functionalities to compare with other products or services, develop competing products or services, or otherwise gain a competitive advantage;
  8. modify, decompile, reverse engineer, disassemble or reproduce any of the Intuit licensed or owned software, systems, applications or components used; or
  9. use deceptive, misleading, or unethical practices that are or might be detrimental to Intuit or the general public, such as to disseminate misinformation and/or malware. 


Part E: Liability and Privacy


  1. You are responsible for understanding and complying with all applicable laws, rules, codes, regulations, and policies currently in effect, as they are amended and as they become effective, that are applicable to your use of the Beta Product and determining whether our Platform, including the Beta Product , is suitable for you in light of such laws, rules, and regulations.
  2. To the fullest extent permitted by law, Intuit and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Beta Product; (ii) any unauthorized access to or use of our servers or the Beta Product; (iii) any interruption or cessation of transmission to or from the Beta Product; or (iv) any bugs, viruses, or other harmful components. The total aggregate liability of Intuit and its affiliates arising out of or relating to these Beta Terms and / or your use of the Beta Product is as specified in the Intuit Terms applicable to you. The above limitations apply even if Intuit and its affiliates have been advised of the possibility of such damages. These Beta Terms set forth your exclusive remedy with respect to the Beta Product. 
  3. You agree to indemnify, defend us, and hold us and our affiliates harmless against all costs, claims, and liability that we may incur in connection with your use of the Beta Product  including, but not limited to, your failure to abide by these Beta Terms.
  4. These Beta Terms expressly incorporate the relevant sections of the Intuit Terms applicable to you regarding arbitration, dispute resolution, and choice of law.
  5. We cannot guarantee the security of every data transmission over the internet.
