Thank you for selecting the Services offered by Intuit Inc. and/or its subsidiaries and affiliates (referred to as "Intuit", "we", "our", or "us"). Review these Terms of Service ("Agreement") thoroughly. This Agreement is a legal agreement between you and Intuit. By accepting electronically (for example, clicking “I Agree”), installing, accessing or using the Services, you agree to these terms. If you do not agree to this Agreement, then you may not use the Services.
1. AGREEMENT
This Agreement describes the terms governing your use of the Intuit online services provided to you on this website, including content, updates and new releases, (collectively, the “Services”). It includes by reference:
* Intuit's Privacy Statement provided to you in the Services available on the website or provided to you otherwise.
* Additional Terms and Conditions, which may include those from third parties.
* Any terms provided separately to you for the Services, including product or program terms, ordering, activation, payment terms, etc.
2. YOUR RIGHTS TO USE THE SERVICES
2.1 The Services are protected by copyright, trade secret, and other intellectual property laws. You are only granted the right to use the Services and only for the purposes described by Intuit. Intuit reserves all other rights in the Services. Until termination of this Agreement and as long as you meet any applicable payment obligations and comply with this Agreement, Intuit grants to you a personal, limited, nonexclusive, nontransferable right and license to use the Services.
2.2 You agree not to use, nor permit any third party to use, the Services or content in a manner that violates any applicable law, regulation or this Agreement. You agree you will not:
* Provide access to or give any part of the Services to any third party.
* Reproduce, modify, copy, deconstruct, sell, trade or resell the Services.
* Make the Services available on any file-sharing or application hosting service.
3. PAYMENT. For Services offered on a payment or subscription basis, the following terms apply, unless Intuit notifies you otherwise in writing. This Agreement also incorporates by reference and includes program ordering and payment terms provided to you on the website for the Services:
a. Payments will be billed to you in U.S. dollars, and your account will be debited when you subscribe and provide your payment information, unless stated otherwise in the program ordering or payment terms on the website for the Services.
b. You must pay with a a valid payment method available at the point of payment.
c. If your payment and registration information is not accurate, current, and complete and you do not notify us promptly when such information changes, we may suspend or terminate your account and refuse any use of the Services.
d. If you do not notify us of updates to your payment method (e.g., credit card expiration date), to avoid interruption of your service, we may participate in programs supported by your card provider (e.g., updater services, recurring billing programs, etc.) to try to update your payment information, and you authorize us to continue billing your account with the updated information that we obtain.
e. Intuit will automatically renew your monthly or annual Services at the then-current rates, plus applicable tax, unless the Services are cancelled or terminated under this Agreement.
f. Additional cancellation or renewal terms may be provided to you on the website for the Services.
4. USE WITH YOUR MOBILE DEVICE. Use of these Services may be available through a compatible mobile device, Internet access and may require software. You agree that you are solely responsible for these requirements, including any applicable changes, updates and fees as well as the terms of your agreement with your mobile device and telecommunications provider.
INTUIT MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED AS TO:
(i) THE AVAILABILITY OF TELECOMMUNICATION SERVICES FROM YOUR PROVIDER AND ACCESS TO THE SERVICES AT ANY TIME OR FROM ANY LOCATION;
(ii) ANY LOSS, DAMAGE, OR OTHER SECURITY INTRUSION OF THE TELECOMMUNICATION SERVICES; AND
(iii) ANY DISCLOSURE OF INFORMATION TO THIRD PARTIES OR FAILURE TO TRANSMIT ANY DATA, COMMUNICATIONS OR SETTINGS CONNECTED WITH THE SERVICES.
5. YOUR PERSONAL INFORMATION. You can view Intuit’s Privacy Statement provided with the Services and on the website for the Services. You agree to the applicable Intuit Privacy Statement, and changes published by Intuit. You agree that Intuit may use and maintain your data according to the Intuit Privacy Statement, as part of the Services. You also give Intuit permission to combine information you enter or upload with that of other users of the Services. For example, this means that Intuit may use that non-identifiable aggregated data to improve services, design promotions, or provide ways for you to compare business practices with other users. We may provide merchants with optional recommendations or tips intended to help optimize their businesses, which may be based on transaction history and performance. You agree that we may use your transaction history and performance data for this purpose.
6. CONTENT
6.1 You are responsible for your content. You are responsible for all materials ("Content") uploaded, posted or stored through your use of the Services. Archive your Content frequently. You are responsible for any lost or unrecoverable Content. You must provide all required and appropriate warnings, information and disclosures. Intuit is not responsible for the Content or data you submit through the Services.
You agree not to use, nor permit any third party to use, the Services to upload, post, distribute, link to, publish, reproduce, engage in or transmit any of the following, including but not limited to:
a. Illegal, fraudulent, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, harassing, offensive, inappropriate or objectionable information or communications of any kind, including without limitation conduct that would encourage "flaming" others, or criminal or civil liability under any local, state, federal or foreign law;
b. Content that would impersonate someone else or falsely represent your identity or qualifications, or that constitutes a breach of any individual’s privacy;
c. Except as permitted by Intuit in writing, investment opportunities, solicitations, chain letters, pyramid schemes, other unsolicited commercial communication or engage in spamming or flooding;
d. Virus, trojan horse, worm or other disruptive or harmful software or data; and
Any information, software or Content which is not legally yours and without permission from the copyright owner or intellectual property rights owner.
6.2 Community forums. The Services may include a community forum or other social features to exchange Content and information with other users of the Services and the public. Please use respect when you interact with other users. Do not reveal information that you do not want to make public. Users may post hypertext links to content of third parties for which Intuit is not responsible.
6.3 Intuit may freely use feedback you provide. You agree that Intuit may use your feedback, suggestions, or ideas in any way, including in future modifications of the Services, other products or services, advertising or marketing materials. You grant Intuit a perpetual, worldwide, fully transferable, sublicensable, non-revocable, fully paid-up, royalty free license to use the feedback you provide to Intuit in any way.
6.4 Intuit may monitor your Content. Intuit may, but has no obligation to, monitor content on the Services. We may disclose any information necessary to satisfy our legal obligations, protect Intuit or its customers, or operate the Services properly. Intuit, in its sole discretion, may refuse to post, remove, or refuse to remove, any Content, in whole or in part, alleged to be unacceptable, undesirable, inappropriate, or in violation of this Agreement.
7. ADDITIONAL TERMS
7.1 Intuit does not give professional advice. Unless specifically included with the Services, Intuit is not in the business of providing legal, financial, accounting, tax, health care, real estate or other professional services or advice. Consult the services of a competent professional when you need this type of assistance.
7.2 We may tell you about other Intuit services.You may be offered other services, products, or promotions by Intuit ("Intuit Services"). Additional terms and conditions and fees may apply. With some Intuit Services you may upload or enter data from your account(s) such as names, addresses and phone numbers, purchases, etc., to the Internet. You grant Intuit permission to use information about your business and experience to help us to provide the Intuit Services to you and to enhance the Services. You grant Intuit permission to combine your business data, if any, with that of others in a way that does not identify you or any individual personally. You also grant Intuit permission to share or publish summary results relating to research data and to distribute or license such data to third parties.
7.3 Communications. Intuit may be required by law to send you communications about the Services or third party products. You agree that Intuit may send these communications to you via email or by posting them on our websites.
7.4 You will manage your passwords and accept updates. You are responsible for securely managing your password(s) for the Services and to contact Intuit if you become aware of any unauthorized access to your account. The Services may periodically be updated with tools, utilities, improvements, third party applications, or general updates to improve the Services. You agree to receive these updates.
8. DISCLAIMER OF WARRANTIES
8.1 YOUR USE OF THE SERVICES, SOFTWARE, AND CONTENT IS ENTIRELY AT YOUR OWN RISK. EXCEPT AS DESCRIBED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTUIT, ITS AFFILIATES, AND ITS THIRD PARTY PROVIDERS, LICENSORS, DISTRIBUTORS OR SUPPLIERS (COLLECTIVELY,"SUPPLIERS") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT THE SERVICES ARE FIT FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, DATA LOSS, NON-INTERFERENCE WITH OR NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS, OR THE ACCURACY, RELIABILITY, QUALITY OR CONTENT IN OR LINKED TO THE SERVICES. INTUIT AND ITS AFFILIATES AND SUPPLIERS DO NOT WARRANT THAT THE SERVICES ARE SECURE, FREE FROM BUGS, VIRUSES, INTERRUPTION, ERRORS, THEFT OR DESTRUCTION. IF THE EXCLUSIONS FOR IMPLIED WARRANTIES DO NOT APPLY TO YOU, ANY IMPLIED WARRANTIES ARE LIMITED TO 60 DAYS FROM THE DATE OF PURCHASE OR DELIVERY OF THE SERVICES, WHICHEVER IS SOONER.
8.2 INTUIT, ITS AFFILIATES AND SUPPLIERS DISCLAIM ANY REPRESENTATIONS OR WARRANTIES THAT YOUR USE OF THE SERVICES WILL SATISFY OR ENSURE COMPLIANCE WITH ANY LEGAL OBLIGATIONS OR LAWS OR REGULATIONS.
9. LIMITATION OF LIABILITY AND INDEMNITY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ENTIRE LIABILITY OF INTUIT, ITS AFFILIATES AND SUPPLIERS FOR ALL CLAIMS RELATING TO THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO SUCH CLAIM. SUBJECT TO APPLICABLE LAW, INTUIT, ITS AFFILIATES AND SUPPLIERS ARE NOT LIABLE FOR ANY OF THE FOLLOWING: (A) INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES; (B) DAMAGES RELATING TO FAILURES OF TELECOMMUNICATIONS, THE INTERNET, ELECTRONIC COMMUNICATIONS, CORRUPTION, SECURITY, LOSS OR THEFT OF DATA, VIRUSES, SPYWARE, LOSS OF BUSINESS, REVENUE, PROFITS OR INVESTMENT, OR USE OF SOFTWARE OR HARDWARE THAT DOES NOT MEET INTUIT SYSTEMS REQUIREMENTS. THE ABOVE LIMITATIONS APPLY EVEN IF INTUIT AND ITS AFFILIATES AND SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS AGREEMENT SETS FORTH THE ENTIRE LIABILITY OF INTUIT, ITS AFFILIATES AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO THE SERVICES AND ITS USE.
You agree to indemnify and hold Intuit and its Affiliates and Suppliers harmless from any and all claims, liability and expenses, including reasonable attorneys' fees and costs, arising out of your use of the Services or breach of this Agreement (collectively referred to as "Claims"). Intuit reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any Claims. You agree to reasonably cooperate as requested by Intuit in the defense of any Claims.
10. CHANGES. We reserve the right to change this Agreement at any time, and the changes will be effective when posted through the Services, on our website for the Services or when we notify you by other means. We may also change or discontinue the Services, in whole or in part. Your continued use of the Services indicates your agreement to the changes.
11. TERMINATION. Intuit may immediately, in its sole discretion and without notice terminate this Agreement or suspend the Services if you fail to comply with this Agreement or if you no longer agree to receive electronic communications. Upon termination you must immediately stop using the Services and any outstanding payments will become due. Any termination of this Agreement shall not affect Intuit’s rights to any payments due to it. Intuit may terminate a free account at any time. Sections 2.2, 3 through 15 will survive and remain in effect even if the Agreement is terminated.
12. EXPORT RESTRICTIONS. You acknowledge that the Services, including the mobile application, and the underlying software may include U.S. technical data subject to restrictions under export control laws and regulations administered by the United States government. You agree that you will comply with these laws and regulations, and will not export or re-export any part of the Services, in violation of these laws and regulations, directly or indirectly.
13. GOVERNING LAW. California state law governs this Agreement without regard to its conflicts of laws provisions.
14. DISPUTES. ANY DISPUTE OR CLAIM RELATING IN ANY WAY TO THE SERVICES OR THIS AGREEMENT WILL BE RESOLVED BY BINDING ARBITRATION, RATHER THAN IN COURT, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this provision; the arbitrator shall apply California law to all other matters. Notwithstanding anything to the contrary, any party to the arbitration may at any time seek injunctions or other forms of equitable relief from any court of competent jurisdiction. WE EACH AGREE THAT ANY AND ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. BY ENTERING INTO THIS AGREEMENT AND AGREEING TO ARBITRATION, YOU AGREE THAT YOU AND INTUIT ARE EACH WAIVING THE RIGHT TO FILE A LAWSUIT AND THE RIGHT TO A TRIAL BY JURY. IN ADDITION, YOU AGREE TO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR LITIGATE ON A CLASS-WIDE BASIS. YOU AGREE THAT YOU HAVE EXPRESSLY AND KNOWINGLY WAIVED THESE RIGHTS.
To begin an arbitration proceeding, send a letter requesting arbitration and describing your claim to Intuit Inc., in care of our registered agent Corporation Service Company, 2711 Centerville Road, Wilmington, DE 19808. Arbitration will be conducted by the American Arbitration Association (AAA) before a single AAA arbitrator under the AAA’s rules, which are available at https://www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration and arbitrator fees and costs will be governed by the AAA's rules, but if you are unable to pay any of them, Intuit will pay them for you. In addition, Intuit will reimburse all such fees and costs for claims totaling less than $75,000 unless the arbitrator determines the claims are frivolous. Likewise, Intuit will not seek its attorneys’ fees or costs in arbitration unless the arbitrator determines your claims or defenses are frivolous. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. The decision of the arbitrator shall be final and not appealable, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. This Section 14 shall survive expiration, termination or rescission of this Agreement.
15. GENERAL. This Agreement, including the Additional Terms below, is the entire agreement between you and Intuit and replaces all prior understandings, communications and agreements, oral or written, regarding its subject matter. If any court of law, having jurisdiction, rules that any part of this Agreement is invalid, that section will be removed without affecting the remainder of the Agreement. The remaining terms will be valid and enforceable. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. You cannot assign or transfer ownership of this Agreement to anyone without written approval of Intuit. However, Intuit may assign or transfer it without your consent to (a) an affiliate, (b) a company through a sale of assets by Intuit or (c) a successor by merger. Any assignment in violation of this Section shall be void. If you want to request a transfer of this Agreement, contact Intuit via an email to: transfer_license@intuit.com.

Your use of the of the QuickBooks Merchant Payment Service as a Payor (“Payment Service”) provided by Intuit is subject to the General Terms of Service above and also includes these Additional Terms and Conditions below, which govern your use of the Payment Service. These Additional Terms and Conditions shall prevail over any conflict or inconsistency with the General Terms of Service.
1. Service Description. The Payment Service enables you to pay a QuickBooks® Merchant via the QuickBooks® feature(s) they have activated. Intuit acts solely as a third party payment facilitator and processor to the merchant who has sent you an invoice. You agree that Intuit is not a party to any agreement you may have with the QuickBooks® merchant to whom you are making a payment and any disputes are solely between you and the merchant.
2. Your Account; Storing Your Payment Information. You may register for our Payment Service and, provided that this feature is made available to you, save your bank account or payment card information. You agree that all information you provide during the sign-up process is true, complete and accurate. Once you establish an account, you are responsible for all activities that occur under your account credentials. You are responsible for maintaining the confidentiality of your account credentials and restricting access to your account. We recommend that you review our Information Security Information for measures you may take to help protect your account, but we cannot guarantee that implementing these measures will ensure the security of your account.
3. ACH or Credit Card Payment Authorization. You may pay the merchant via electronic fund transfer (or ACH) from a valid U.S. bank account or using a credit card. You must provide verifiable bank account information to pay the merchant via ACH. By using the Payment Service, you authorize Intuit to validate and debit your bank account or credit card for all invoice payments you initiate using the Payment Service. You understand that Intuit may not support all credit cards types or brands.
4. Setting Up the Pay Date. Provided that this feature is made available to you, you may specify the “pay” date of each invoice you receive. On the pay date, we will debit your bank account or credit card for the invoice amount. You are solely responsible for ensuring that the pay date of each invoice does incur any late, overdraft or return item fees that may be charged from your bank, credit card company or the merchant to whom you are making a payment. You give Intuit the right to resubmit any rejected, refused or invalid payments you have authorized and to re-originate your pay transaction.
5. Recurring (Repeating) Payments; Stop Payment Request. Provided this feature is made available to you, if you wish to use the Payment Service to permit a merchant to charge a recurring or repeating amount, you authorize the merchant, and Intuit as the merchant’s agent, to initiate either an electronic debit from your bank account or credit card at the frequency you indicate. This payment authorization will remain in full force and effect until you notify us of your cancellation by sending written notice in such time and in such manner to allow both Inuit and any receiving financial institution a reasonable opportunity to act upon it. Alternatively, you must cancel the payment by logging in to your account at least 24 hours before the specified “pay” date. A stop payment fee may be applied if the stop payment request is within 24 hours of the specified pay date.
6. Errors and Unauthorized Transactions. You can inspect your payment history at any time by logging in to your account. You must immediately notify us if you have reason to believe any of the following activities have occurred: (i) there has been an unauthorized invoice paid from your account; (ii) you notice errors; or (iii) your account credentials have been compromised. We may require that you send your complaint or question in writing. If we discover a processing error, we will correct it. If the error resulted in your receiving less money than you were entitled to, Intuit will credit you for the difference. If the error results in you receiving more money than you were entitled to, Intuit may debit the extra funds.
7. Invalid or Refused Payments. Intuit may pend, delay, or a reverse processed if Intuit believes a transaction: (1) is invalid; (2) involves misconduct or fraud; or (3) violates applicable law, the terms of this Agreement or Intuit’s policies. You agree to cooperate with Intuit and provide any information that may be reasonably requested by Intuit in its investigation of any invalidated or refused transactions. Also your agree and understand that the merchant is not required to accept your payment. You agree that you will not hold Intuit liable for any damages resulting from a Merchant’s decision not to accept a payment. Intuit will return any refused or denied payment to your bank account or credit card.
8. Refunds. Your merchant is required to post an exchange or return policy in accordance with applicable rules, such as those issued by credit card networks, the Payment Card Industry, and NACHA, among others. If any of the following are applicable when merchandise is returned, your merchant should have incorporated it as part of its policy: (a) no refund, or less than a full refund, will be given; (b) returned merchandise will only be exchanged for similar merchandise of comparable value; (c) only a credit toward purchases will be given; or (d) special conditions or circumstances apply to the sale (e.g., late delivery, charges, or other noncredit terms). You understand that a merchant’s exchange or return policy is issued by the merchant and not Intuit, and your recourse for any policy violations is between you and the merchant.
9. Restrictions. As a user, you must be at least eighteen (18) years of age and permanently residing in the United States. Additionally, you agree that as a user, you will not:
* Provide false, inaccurate or misleading information to Intuit;
* Use the Payment Service or any Intuit Service to send or receive fraudulent funds or conduct other transactions relating to other illegal activities;
* Modify, duplicate, disrupt or interfere with the Service, supporting servers, or networks manually or through the use of scripts, viruses, or worms;
* Attempt to access any other Intuit systems that are not part of the Service;
* Excessively overload the Intuit systems used to provide the Service; or
* Use Payment Service or any other Intuit Service to send unsolicited email to third parties.
10. Limitations on Amounts or Frequency of Transactions. At its sole discretion, Intuit may impose limits to the number and/or the frequency of invoices you can pay using the Payment Service. Intuit may decline any invoice exceeding these limits.
11. Identity Verification. Prior to Intuit’s processing of your first invoice payment, we may need to verify your account information. The verification process may include sending you texts, voice calls, or automated voice calls. If you provided us with your mobile phone number, you agree that we may send text or voice messages to that number, including autodialed or pre-recorded calls. The verification process may include debiting between $0.01 and $0.99 from your bank account, then immediately crediting the same amount back to your bank account, and you verifying the amount debited to confirm your bank account. Intuit will only use this process to screen for fraud and will not otherwise debit your bank account, except for your use of the Payment Service.
12. Credit Report Authorization. You authorize Intuit (directly or through its third party providers) to make any inquiries as necessary to verify your identity, including by obtaining your credit report, personal profile or other information from one or more credit agencies, databases or other sources to confirm your identity or prevent the fraudulent use of your account or your identity. We may also request that you provide additional information at any time, including a copy of government issued identification such as a passport, driver or business license. If you refuse any of these requests, we may suspend or terminate your right to use the Payment Service. If you are a business entity, you are providing Intuit with written instruction and authorization in accordance with the Fair Credit Reporting Act to obtain your personal and/or business credit report, or profile, from one or more credit agencies or their agents for verification purposes.
13. Intuit’s Liability for Failure to Complete Transactions or Payment Processing Delays. Intuit is not liable for any failure to complete your invoice payment on the pay date or in the correct amount, if you provide inaccurate or incorrect information. Any fees associated with late payment transaction imposed by the Merchant to whom you are making a payment shall be your sole responsibility. Intuit will make reasonable efforts to send you notice that your payment transaction is not complete, however you are solely responsible for ensuring a payment has been sent, received, accepted in the correct amount by the Merchant. The average process time is usually 2 to 3 business days, but may take longer due to banking system delays or other matters outside of Intuit’s control.
14. Disclosure of Account Information to Third Parties by Intuit. Information about your account or a transfer you make using the Payment Service may be disclosed to third parties as necessary to complete transactions; in connection with any investigations you or we initiate; or to comply with a government agency, arbitration or court orders. We may also share information with other companies, attorneys, credit bureaus, agents and card associations in connection with issues related to fraud, credit or debt collection matters.
15. Social Media Sites. Intuit may provide experiences on social media platforms such as Facebook®, Twitter® and LinkedIn® that enable online sharing and collaboration among users who have registered to use them. Any content you post, such as pictures, information, opinions, or any Personal Information that you make available to other participants on these social media sites, is subject to the Terms of Use and Privacy Policies of those sites. Please refer to those social media sites to clearly understand your rights and obligations with regard to such content.
16. Consent To Conduct Business Electronically & Telephonically. Intuit may be required to send you Communications to you that may pertain to the Service and the use of information you may submit to IPS. Additionally, certain of the third party services you choose may require Communications with the third parties who administer these programs. You agree that IPS, on behalf of itself, and others who administer such services (as applicable), may send Communications to you by email and/or may make Communications available to you by posting them on one or more of our websites or product experiences, such as https://www.intuit.com the online Intuit portal through which you pay invoices, etc. You consent to receive these Communications electronically. The term "Communications" means any notice, record, agreement, or other type of information that is made available to you or received from you in connection with the Service or third party services. Intuit may also send Communications to you using the means listed below. The decision whether to do business electronically is yours, and you should consider whether you have the required hardware and software capabilities described below. Your consent to do business electronically and our agreement to do so covers all transactions you conduct through the Service. In order to access and retain an electronic record of Communications, you will need: a computer, a monitor, a connection to an Internet service provider, Internet browser software that supports 128-bit encryption, and an email address. As applicable, by selecting the "I accept" or "Sign Up" button, you are confirming to us that you have the means to access, and to print or download, Communications. We do not provide ISP services. You must have your own Internet service provider.
17. Withdrawal of Consent for Electronic Communication. If you later decide that you do not want to receive future Communications electronically, write to us at Privacy Team, Intuit, Inc, 2800 East Commerce Center Place Tucson, AZ 85706. If you withdraw your consent to receive Communications electronically, we may terminate your use of the Service.
18. Changes to Your Email Address. You agree to notify us promptly of any change in your email address. You can do so by logging on to https://privacy.intuit.com/cpi/do/signin and following the instructions to submit a comment to IPS (please include both your old and new email address).
19. Termination. If you violate any terms of this Agreement, your right to use the Service automatically terminates.

Canada Payor Terms
Your use of the QuickBooks Merchant Payment Service as a Payor (“Payment Service” or “Service(s)”) provided by Intuit Canada ULC and/or its subsidiaries and affiliates (referred to as "Intuit", "we", "our", or "us") is subject to these Terms and Conditions (“Agreement”). Review this Agreement thoroughly. This Agreement is a legal agreement between you and Intuit. By clicking “I Agree,” indicating acceptance electronically, or by installing, accessing or using the Payment Service, you agree to these terms. If you do not agree to this Agreement, then you may not use the Payment Service.
1. Agreement
This Agreement describes the terms governing your use of the Intuit online services provided to you on this website, including content, updates and new releases, (collectively, the “Services”). It includes by reference:
* Additional terms and conditions, which may include those from third parties.
* Any terms provided separately to you for the Payment Service, including product or program terms, ordering, activation, payment terms, etc.
2. Your Rights to use the Payment Service.
A. The Services are protected by copyright, trade secret, and other intellectual property laws. You are only granted the right to use the Services and only for the purposes described by Intuit. Intuit reserves all other rights in the Services. Until termination of this Agreement and as long as you meet any applicable payment obligations and comply with this Agreement, Intuit grants to you a personal, limited, nonexclusive, nontransferable right and license to use the Services.
B. You agree not to use, nor permit any third party to use, the Services or content in a manner that violates any applicable law, regulation or this Agreement. You agree you will not:
* Provide access to or give any part of the Services to any third party.
* Reproduce, modify, copy, sell, trade, lease, rent or resell the Services.
* Decompile, disassemble, or reverse engineer the Services.
* Make the Services available on any file-sharing or application hosting service.
3. Service Description. The Payment Service enables you to pay a QuickBooks® Merchant via the QuickBooks® feature(s) they have activated. Intuit acts solely as a third party payment facilitator and processor to the merchant who has sent you an invoice. You agree that Intuit is not a party to any agreement you may have with the QuickBooks® merchant to whom you are making a payment and any disputes are solely between you and the merchant.
4. Your Account; Storing Your Payment Information. To register for or otherwise use our Payment Service you will be required to provide us with personal information including: your name and contact information, payment card details (if paying by credit card) and bank account information (if paying through EFT). In order to collect accurate bank account information, we will ask you to provide your online banking credentials (username and password) to our service provider who will use this information to collect your bank account information directly from your online bank account on our behalf. We will also collect information about the payments you make through the Payment Service. We use your personal information to verify your identity, manage and administer your account, process your payments, retain your payment card or banking information for future payments (if you ask us to), and otherwise in accordance with the Intuit Privacy Statement, available at https://www.intuit.com/privacy/statement/ and https://www.intuit.com/privacy/statement/fr-ca/. We may also use your personal information to generate aggregate and anonymous statistics and reports, which we can use and share for any lawful purpose. We use service providers (including outside of Canada) to perform certain services on our behalf and your personal information may be collected by or shared with these service providers. We may also share your personal information as necessary to process your payments, detect or prevent fraud, and otherwise as permitted or required by law. You agree that all information you provide during the sign-up process is true, complete and accurate. Once you establish an account, you are responsible for all activities that occur under your account credentials. You are responsible for maintaining the confidentiality of your account credentials and restricting access to your account. We recommend that you review our Security Information for measures you may take to help protect your account, but we cannot guarantee that implementing these measures will ensure the security of your account.
5. Payment Methods. You may pay the merchant via electronic fund transfer (EFT) from a valid Canadian bank account (a pre-authorized debit or "PAD") or by using a credit card or other payment method that we enable or support (each a "payment method"). To make a payment via PAD, you must agree to the terms of the PAD Agreement set out in Section 5(1) below. To provide payment processing services, we have entered into agreements with card networks, processors and acquiring and sponsoring banks, as well as third party payment service providers (each, a “third party provider”). By using the Payment Service, you authorize Intuit or a third party provider to validate and debit your selected payment method for all invoice payments you initiate using the Payment Service. You understand that Intuit may not support all payment types or brands.
- PAD Agreement. This PAD Agreement allows us to debit the bank account you designate (the “Account”) for regular recurring and/or set interval payments of amounts you owe to a merchant from time to time in accordance with the Payor Terms. You understand that these payments are business PADs and agree that completing the applicable fields with your personal and financial information is your consent for its use as an electronic signature for this PAD Agreement. PADs can be used to schedule a payment on a certain date (as described in section 6, below) or to set up recurring payments (as described in section 7, below).
- You may cancel this PAD Agreement at any time by providing us with written notice at least twenty-four (24) hours before the next PAD is scheduled from your Account. You may obtain a sample PAD Agreement cancellation form, or further information on your right to cancel this PAD Agreement, at your bank (or financial institution) or by visiting www.payments.ca. We may also cancel this PAD Agreement on not less than twenty-four (24) hours' notice to you.
- You agree to waive pre-notification of (a) the date and the amount of the first PAD to be debited from your Account, (b) each subsequent PAD and (c) any changes in the amount of a PAD. You also agree that this PAD Agreement will be confirmed by providing you a copy of it within 5 calendar days of the first PAD debited from your account.
- You have certain recourse rights if any PAD does not comply with this PAD Agreement. For example, you have the right to receive reimbursement for any PAD that is not authorized or is not consistent with this PAD Agreement. To obtain more information on your recourse rights, you may contact your bank or visit www.payments.ca.
- You acknowledge that terminating this PAD Agreement does not terminate, cancel, or otherwise affect your obligations to us or any merchant. You understand that, after any such termination, you are still required to make any payments due using another payment method.
- If any PAD is dishonored, due to insufficient funds or a reason other than your revocation of this PAD Agreement, you authorize us to re-present the PAD. Your bank may impose a fee if your Account becomes overdrawn or due to insufficient funds. You agree that we are not liable for any related fees (including any fees that may be imposed on you or us by the bank as a result of a failed PAD).
- If we make an error in processing any payment from the Account, you authorize us to correct the error by initiating a debit or credit on the Account, as applicable, in accordance with the Payments Canada Rules.
- We may assign this authorization, whether directly or indirectly, by operation of law, change of control or otherwise, by providing written notice to you, including the identity and contact information for the assignee.
- You represent and warrant that you have the authority under the terms of your Account agreement to authorize PADs and that the person(s) whose signature(s) is/are required to sign on the Account have authorized this PAD Agreement. You agree to promptly notify us of any changes to your Account information and/or to provide a new payment method for which you will need to authorize payments from that new account.

6. Setting Up the Pay Date. Provided that this feature is made available to you, you may specify the “pay” date of each invoice you receive. On the pay date, we will debit your Account or credit card for the invoice amount. You are solely responsible for ensuring that the pay date of each invoice does not incur any late, overdraft or return item fees that may be charged from your bank, credit card company or the merchant to whom you are making a payment. You give Intuit the right to resubmit any rejected, refused or invalid payments you have authorized and to re-originate your pay transaction in accordance with applicable law and, if applicable, the terms of the PAD Agreement.
7. Recurring (Repeating) Payments; Stop Payment Request. Provided this feature is made available to you, if you wish to use the Payment Service to permit a merchant to charge a recurring or repeating amount, you authorize the merchant, and Intuit as the merchant’s agent, to initiate either an electronic debit from your Account or credit card at the frequency you indicate. This payment authorization will remain in full force and effect until you notify us of your cancellation by sending written notice in such time and in such manner to allow both Inuit and any receiving financial institution a reasonable opportunity to act upon it. Alternatively, you must cancel an individual payment by logging in to your account at least 24 hours before the specified “pay” date. A stop payment fee may be applied if the stop payment request is made within 24 hours of the specified pay date, and payment requests made within such a timeframe may not successfully stop the payment.
8. Errors and Unauthorized Transactions You must immediately notify us if you have reason to believe any of the following activities have occurred: (i) there has been an unauthorized invoice paid from your account; (ii) you notice errors; or (iii) your account credentials have been compromised. We may require that you send your complaint or question in writing. If we discover a processing error, we will correct it. If the error resulted in you paying more money than you authorized, Intuit will credit you for the difference. If the error results in you paying less money than you authorized, Intuit will debit or charge the extra funds against your payment method.
9. Invalid or Refused Payments. Intuit may pend, delay, or reverse a processed payment if Intuit believes a transaction: (1) is invalid; (2) involves misconduct or fraud; or (3) violates applicable law, the terms of this Agreement or Intuit’s policies. You agree to cooperate with Intuit and provide any information that may be reasonably requested by Intuit in its investigation of any invalidated or refused transactions. Also you agree and understand that the merchant is not required to accept your payment. You agree that you will not hold Intuit liable for any damages resulting from a merchant’s decision not to accept a payment. Intuit will attempt to return any refused or denied payment to your Account or credit card.
10. Refunds. Your merchant is required to post an exchange or return policy in accordance with applicable rules, such as those that may be issued by credit card networks, and the Payment Card Industry, among others. If any of the following are applicable when merchandise is returned, your merchant should have incorporated it as part of its policy: (a) no refund, or less than a full refund, will be given; (b) returned merchandise will only be exchanged for similar merchandise of comparable value; (c) only a credit toward purchases will be given; or (d) special conditions or circumstances apply to the sale (e.g., late delivery, charges, or other noncredit terms). You understand that a merchant’s exchange or return policy is issued by the merchant and not Intuit, and your recourse for any policy violations is between you and the merchant.
11. Restrictions. As a user, you must be at least the age of majority in the province where you reside and permanently residing in Canada. Additionally, you agree that as a user, you will not:
* Provide false, inaccurate or misleading information to Intuit;
* Use the Payment Service or any Intuit Service to send or receive fraudulent funds or conduct other transactions relating to other illegal activities;
* Modify, duplicate, disrupt or interfere with the Service, supporting servers, or networks manually or through the use of scripts, viruses, or worms;
* Attempt to access any other Intuit systems that are not part of the Service;
* Excessively overload the Intuit systems used to provide the Service; or
* Use Payment Service or any other Intuit Service to send unsolicited email to third parties.
12. Limitations on Amounts or Frequency of Transactions At its sole discretion, Intuit may impose limits to the number and/or the frequency of invoices you can pay using the Payment Service. Intuit may decline any invoice exceeding these limits.
13. Identity Verification Prior to Intuit’s processing of your first invoice payment, we may need to verify your account information. The verification process may include sending you texts, voice calls, or automated voice calls. If you provided us with your mobile phone number, you agree that we may send text or voice messages to that number, including autodialed or pre-recorded calls. The verification process may include debiting between $0.01 and $0.99 from your bank account, then immediately crediting the same amount back to your bank account, and you verifying the amount debited to confirm your bank account. Intuit will only use this process to screen for fraud and will not otherwise debit your bank account, except for your use of the Payment Service.
14. Intuit’s Liability for Failure to Complete Transactions or Payment Processing Delays. Intuit is not liable for any failure to complete your invoice payment on the pay date or in the correct amount, if you provide inaccurate or incorrect information. Any fees associated with late payment transaction imposed by the merchant to whom you are making a payment shall be your sole responsibility. Intuit will make reasonable efforts to send you notice that your payment transaction is not complete, however you are solely responsible for ensuring a payment has been sent, received, accepted in the correct amount by the merchant. The average process time is usually 2 to 3 business days, but may take longer due to banking system delays or other matters outside of Intuit’s control.
15. Social Media Sites. Intuit may provide experiences on social media platforms such as Facebook®, Twitter® and LinkedIn® that enable online sharing and collaboration among users who have registered to use them. Any content you post, such as pictures, information, opinions, or any Personal Information that you make available to other participants on these social media sites, is subject to the Terms of Use and Privacy Policies of those sites. Please refer to those social media sites to clearly understand your rights and obligations with regard to such content.
16. Consent To Conduct Business Electronically & Telephonically. You agree that we may send communications to you by email and/or may make communications available to you by posting them on one or more of our websites or product experiences, such as https://www.intuit.com the online Intuit portal through which you pay invoices, etc.
17. Your Personal Information. You agree to the Intuit Privacy Statement and any changes published by Intuit. You agree that Intuit may use and maintain your personal information according to the Intuit Privacy Statement, as part of the Services. You give Intuit permission to combine identifiable and non-identifiable information you enter or upload to the Services with that of other users of the Services and/or other Intuit services. For example, this means that Intuit may use your and other user's; non-identifiable, aggregated data to improve the Services or to design promotions and provide ways for you to compare business practices with other users. We may provide merchants with optional recommendations or tips intended to help optimize their businesses, which may be based on transaction history and performance. You agree that we may use your transaction history and performance data for this purpose. Intuit is a global company and may access or store personal information in multiple countries, including countries outside of your own country to the extent permitted by applicable law.
18. Use With Your Mobile Device. Use of these Services may be available through a compatible mobile device, Internet access and may require software. You agree that you are solely responsible for these requirements, including any applicable changes, updates and fees as well as the terms of your agreement with your mobile device and telecommunications provider.
INTUIT MAKES NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED AS TO:
(i) THE AVAILABILITY OF TELECOMMUNICATION SERVICES FROM YOUR PROVIDER AND ACCESS TO THE SERVICES AT ANY TIME OR FROM ANY LOCATION;
(ii) ANY LOSS, DAMAGE OR SECURITY INTRUSION OF THE TELECOMMUNICATION SERVICES; AND
(iii) ANY DISCLOSURE OF INFORMATION TO THIRD PARTIES OR FAILURE TO TRANSMIT ANY DATA, COMMUNICATIONS OR SETTINGS CONNECTED WITH THE SERVICES.
19. DISCLAIMER OF WARRANTIES.
A. IF YOU ARE A QUEBEC CONSUMER, THIS PROVISION IS NOT APPLICABLE TO YOU. YOUR USE OF THE SERVICES, SOFTWARE, AND CONTENT IS ENTIRELY AT YOUR OWN RISK. EXCEPT AS DESCRIBED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED " AS IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INTUIT, ITS AFFILIATES, AND ITS AND THEIR THIRD PARTY PROVIDERS, LICENSORS, DISTRIBUTORS OR SUPPLIERS (COLLECTIVELY "SUPPLIERS") DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OR CONDITION THAT THE SERVICES ARE FIT FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, DATA LOSS, NON-INTERFERENCE WITH OR NON-INFRINGEMENT OR MISAPPROPRIATION OF ANY INTELLECTUAL PROPERTY RIGHTS, OR THE ACCURACY, RELIABILITY, QUALITY OF CONTENT IN OR LINKED TO THE SERVICES. INTUIT AND ITS AFFILIATES AND SUPPLIERS DO NOT WARRANT THAT THE SERVICES ARE SECURE, FREE FROM BUGS, VIRUSES, INTERRUPTION, ERRORS, THEFT OR DESTRUCTION. IF THE EXCLUSIONS FOR IMPLIED WARRANTIES OR CONDITIONS DO NOT APPLY TO YOU, ANY IMPLIED WARRANTIES OR CONDITIONS ARE LIMITED TO 60 DAYS FROM THE DATE OF PURCHASE OR DELIVERY OF THE SERVICES, WHICHEVER IS SOONER. SOME PROVINCES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR CONDITIONS, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM PROVINCE TO PROVINCE. INTUIT, ITS AFFILIATES AND SUPPLIERS DISCLAIM ANY REPRESENTATIONS OR WARRANTIES THAT YOUR USE OF THE SERVICES WILL SATISFY OR ENSURE COMPLIANCE WITH ANY LEGAL OBLIGATIONS OR LAWS OR REGULATIONS.
B.IF YOU ARE A QUEBEC CONSUMER, THE SOLE WARRANTY APPLICABLE TO THIS AGREEMENT AND THE SERVICES IS THE LEGAL WARRANTY PROVIDED UNDER THE CIVIL CODE OF QUEBEC AND ANY WARRANTY PROVIDED FOR UNDER THE CONSUMER PROTECTION ACT (QUEBEC).
20. LIMITATION OF LIABILITY.
A. IF YOU ARE A QUEBEC CONSUMER, THIS PROVISION IS NOT APPLICABLE TO YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ENTIRE LIABILITY OF INTUIT, ITS AFFILIATES AND SUPPLIERS FOR ALL CLAIMS RELATING TO THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO SUCH CLAIM. SUBJECT TO APPLICABLE LAW, INTUIT, ITS AFFILIATES AND SUPPLIERS ARE NOT LIABLE FOR ANY OF THE FOLLOWING: (A) INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES; (B) DAMAGES RELATING TO FAILURES OF TELECOMMUNICATIONS, THE INTERNET, ELECTRONIC COMMUNICATIONS, CORRUPTION, SECURITY, LOSS OR THEFT OF DATA, VIRUSES, SPYWARE, LOSS OF BUSINESS, REVENUE, PROFITS OR INVESTMENT, OR USE OF SOFTWARE OR HARDWARE THAT DOES NOT MEET INTUIT SYSTEMS REQUIREMENTS. THE ABOVE LIMITATIONS APPLY EVEN IF INTUIT AND ITS AFFILIATES AND SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS AGREEMENT SETS FORTH THE ENTIRE LIABILITY OF INTUIT, ITS AFFILIATES AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO THE SERVICES AND ITS USE.
B.IF YOU ARE A QUEBEC CONSUMER, SUBJECT TO APPLICABLE LAW, INTUIT AND ITS SUPPLIERS ARE NOT LIABLE FOR ANY OF THE FOLLOWING: DAMAGES RELATING TO FAILURES OF TELECOMMUNICATIONS, THE INTERNET, ELECTRONIC COMMUNICATIONS, CORRUPTION, SECURITY, LOSS OR THEFT OF DATA, VIRUSES, SPYWARE, OR USE OF SOFTWARE OR HARDWARE THAT DOES NOT MEET INTUIT SYSTEMS REQUIREMENTS.
21. Indemnity You agree to indemnify and hold Intuit and its Affiliates and Suppliers harmless from any and all claims, liability and expenses, including reasonable legal fees and disbursements on a full indemnity basis, arising out of your use of the Services or breach of this Agreement, including third party claims (collectively referred to as "Claims"). Intuit reserves the right, in its sole discretion and at its own expense, to assume the exclusive defense and control of any Claims. You agree to reasonably cooperate as requested by Intuit in the defense of any Claims.
22. Export Restrictions. You acknowledge that the Payment Service, including the mobile application, and the underlying software is subject to restrictions and controls imposed by the Export and Import Permits Act (Canada) and regulations under the Export and Import Permits Act as well as the U.S. export controls regulations administered by the U.S. Department of Commerce (15 CFR, Chapter VII[QA1] ) and that you will comply with all applicable laws and regulations. You will not export or re-export any part of the Payment Service, in violation of the Canadian and U.S. export administration laws and regulations, directly or indirectly. You further acknowledge that the underlying software may include technical data subject to such Canada and U.S. export regulations.
23. Governing Law Unless you are a Quebec consumer, the Province of Ontario and the federal laws of Canada govern this Agreement without regard to its conflicts of laws provisions. You agree to the exclusive jurisdiction of the Province of Ontario and the Courts of the Province of Ontario. If you are a Quebec consumer, this Agreement shall be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. You agree to the exclusive jurisdiction of the Province of Quebec and the Courts of the Province of Quebec. Intuit does not represent that the Services are appropriate or available for use in all countries. You are accessing the Services on your own initiative and you are responsible for compliance with all applicable laws.
24. Language. The parties hereby confirm that they have requested that this Agreement and all related documents be drafted in English. Les parties ont exigé que le présent contrat et tous les documents connexes soient rédigés en anglais.
25. General. This Agreement is the entire agreement between you and Intuit regarding its subject matter and replaces all prior understandings, communications and agreements, oral or written, regarding its subject matter. If any court of law, having the jurisdiction, rules that any part of this Agreement is invalid, that section will be removed without affecting the remainder of the Agreement. The remaining terms will be valid and enforceable. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement. You may not assign or transfer this Agreement to anyone without written approval of Intuit. However, Intuit may assign or transfer this Agreement without your consent to (a) an affiliate, (b) a company through a sale of assets by Intuit or (c) a successor by merger. Any assignment in violation of this Section shall be void. If you want to request a transfer of this Agreement, contact Intuit via an email to: transfer_license@intuit.com.
26. Consent for Electronic Communication. You consent to receive these Communications electronically. The term "Communications" means any notice, record, agreement, or other type of information that is made available to you or received from you in connection with the Payment Service or third party services. The decision whether to do business electronically is yours, and you should consider whether you have the required hardware and software capabilities described below. Your consent to do business electronically and our agreement to do so covers all transactions you conduct through the Payment Service. 29. Termination. Intuit may immediately, in its sole discretion and without notice, restrict, deny, terminate this Agreement or suspend the Payment Service, related or other services, effective immediately, in whole or in part, if we determine that your use of the Payment Service violates the Agreement, is improper or substantially exceeds or differs from normal use by other users, raises suspicion of fraud, misuse, security concern, illegal activity or unauthorized access issues, to protect the integrity or availability of the Payment Service or systems and comply with applicable Intuit policy, if you no longer agree to receive electronic communications, or if your use of the Payment Service conflicts with Intuit’s interests or those of another user of the Payment Service. Upon termination you must immediately stop using the Payment Services and any outstanding payments, if any, will become due. Any termination of this Agreement shall not affect Intuit’s rights to any payments due to it.

Votre utilisation du service de paiement aux marchands en tant que payeur (le « service de paiement », le « service » ou les « services ») fourni par Intuit Canada ULC, ses sociétés affiliées ou ses filiales (« Intuit », « nous », « nos » ou « notre ») est assujettie aux présentes conditions générales (la « convention »). Lisez la convention attentivement. La présente convention constitue une entente juridique entre vous et Intuit. En cliquant sur « J’accepte » (indiquant ainsi votre acceptation par voie électronique) ou en installant le service de paiement, en y accédant ou en l’utilisant, vous acceptez ces conditions. Si vous n’acceptez pas cette convention, vous ne pouvez pas utiliser les services.
1. Convention.
La présente convention énonce les conditions qui régissent votre utilisation des services en ligne d’Intuit qui vous sont fournis sur ce site Web, y compris le contenu, les mises à jour et les nouvelles versions (collectivement, les « services »). Les dispositions suivantes sont intégrées par renvoi à la convention :
* Déclaration de confidentialité d’Intuit
* Conditions supplémentaires, qui peuvent comprendre celles de tiers
* Conditions qui vous sont fournies séparément pour le service de paiement, y compris les conditions d’utilisation de produits ou de programmes, les conditions qui régissent les commandes, l’activation et le paiement, etc.
2. Vos droits relatifs à l’utilisation du service de paiement.
A. Les services sont protégés par les lois sur la propriété intellectuelle, notamment en matière de droit d’auteur et de secrets commerciaux. Seul le droit d’accéder aux services et de les utiliser uniquement aux fins décrites dans les présentes ne vous est accordé. Intuit se réserve tous les autres droits à l’égard des services. Jusqu’à la résiliation de la présente convention et tant que vous respectez les obligations de paiement applicables ainsi que la présente convention, Intuit vous accorde une licence et un droit personnels, limités, non exclusifs et non cessibles vous permettant d’utiliser les services.
B. Vous vous engagez à ne pas utiliser les services ou leur contenu de façon à violer les lois et les règlements applicables ou la présente convention et à ne pas permettre à un tiers de les utiliser d’une telle façon. Vous vous engagez à ne pas faire ce qui suit :
- Fournir un accès complet ou partiel aux services ou les donner, en tout ou en partie, à un tiers.
- Reproduire, modifier, copier, vendre, commercialiser, louer ou revendre les services.
- Décompiler, désassembler ou rétroconcevoir les services.
- Rendre les services accessibles au moyen d’une application de partage de fichiers ou d’un service d’hébergement.
3. Description du service. Le service de paiement vous permet de payer un marchand QuickBooks au moyen des fonctions QuickBooks activées par le marchand. Intuit agit uniquement à titre de tiers permettant et traitant le paiement au marchand qui vous a envoyé une facture. Vous convenez qu’Intuit n’est partie à aucun contrat qui pourrait être établi entre vous et le marchand QuickBooks à qui vous envoyez le paiement, et que tout différend doit être réglé entre vous et le marchand seulement.
4. Votre compte et le stockage de vos renseignements de paiement. Pour vous inscrire à notre service de paiement ou l’utiliser d’une autre manière, vous devez nous fournir des renseignements personnels, notamment votre nom et vos coordonnées, les détails de votre carte de paiement (si vous payez par carte de crédit) et les renseignements sur votre compte bancaire (si vous payez par transfert électronique de fonds). Afin de recueillir des renseignements exacts sur votre compte bancaire, nous vous demanderons de fournir vos identifiants bancaires en ligne (nom d’utilisateur et mot de passe) à notre prestataire de services, qui utilisera ces renseignements pour obtenir vos renseignements bancaires directement à partir de votre compte bancaire en ligne en notre nom. Nous recueillerons également des données sur les paiements que vous effectuez par l’intermédiaire du service de paiement. Nous utilisons vos renseignements personnels pour vérifier votre identité, gérer votre compte, traiter vos paiements et enregistrer les renseignements sur votre carte de paiement ou votre compte bancaire pour des paiements futurs (si vous nous le demandez), le tout conformément à la déclaration de confidentialité d’Intuit, que vous trouverez à l’adresse https://www.intuit.com/privacy/statement/fr-ca/ (en français) ou https://www.intuit.com/privacy/statement/ (en anglais). Nous pouvons également utiliser vos renseignements personnels pour générer des statistiques et des rapports agrégés et anonymes, que nous pouvons utiliser et diffuser à toute fin légale. Nous faisons appel à des prestataires de services (y compris en dehors du Canada) pour fournir certains services en notre nom, et vos renseignements personnels peuvent être recueillis par ces prestataires de services ou leur être transmis. Nous pouvons également divulguer vos renseignements personnels si cela s’avère nécessaire pour traiter vos paiements, détecter ou prévenir la fraude, ou si la loi l’autorise ou l’exige. Vous confirmez que tous les renseignements que vous fournirez au cours du processus d’inscription seront véridiques, complets et exacts. Une fois votre compte créé, vous êtes responsable de toutes les activités qui ont lieu avec vos identifiants de compte. Vous êtes responsable du maintien de la confidentialité de vos identifiants de compte et de la restriction de l’accès à votre compte. Nous vous recommandons de consulter nos informations sur la sécurité pour connaître les mesures que vous pouvez prendre pour protéger votre compte, mais nous ne pouvons pas garantir que la mise en œuvre de ces mesures assurera la sécurité de votre compte.
5. Modes de paiement. Vous pouvez payer un marchand par transfert électronique de fonds (TEF) à partir d’un compte bancaire canadien valide (un « débit préautorisé » ou un « DPA ») ou en utilisant une carte de crédit ou un autre mode de paiement que nous autorisons ou prenons en charge (chacun étant un « mode de paiement »). Pour effectuer un paiement par DPA, vous devez accepter les conditions de la convention de DPA énoncées à l’article 5(A) ci-dessous. Pour fournir des services de traitement des paiements, nous avons conclu des conventions avec des réseaux de cartes, des entreprises de traitement et des banques acquéreuses et distributrices, ainsi qu’avec des prestataires de services de paiement tiers (chacun étant un « prestataire tiers »). En utilisant le service de paiement, vous autorisez Intuit ou un fournisseur tiers à valider et à débiter le mode de paiement que vous avez choisi pour tous les paiements de factures que vous effectuez au moyen du service de paiement. Vous comprenez qu’il se peut que certains modes de paiement ou marques ne soient pas pris en charge par Intuit.
1. Convention de DPA. Cette convention de DPA nous permet de débiter le compte bancaire que vous avez désigné (le « compte ») pour effectuer des paiements récurrents et/ou à intervalles fixes des montants que vous devez à un marchand, conformément aux conditions relatives aux payeurs. Vous comprenez que ces paiements sont des DPA d’entreprise et vous acceptez que le fait d’entrer vos renseignements personnels et financiers dans les champs applicables constitue votre consentement à leur utilisation en tant que signature électronique aux fins de la présente convention de DPA. Les DPA peuvent être utilisés pour programmer un paiement à une certaine date (comme décrit à l’article 6 ci-dessous) ou pour mettre en place des paiements récurrents (comme décrit à l’article 7 ci-dessous).
a. Vous pouvez annuler cette convention de DPA à tout moment en nous envoyant un avis écrit au moins vingt-quatre (24) heures avant le prochain DPA qui doit être débité. Vous pouvez obtenir un modèle de formulaire de résiliation de la convention de DPA ou de plus amples renseignements sur votre droit de résilier la convention de DPA auprès de votre banque ou de votre institution financière ou en consultant le site www.paiements.ca. Nous pouvons également résilier la convention de DPA en vous donnant un préavis d’au moins vingt-quatre (24) heures.
b. Vous acceptez de renoncer à recevoir une notification a) de la date et du montant du premier DPA à débiter de votre compte, b) de chaque DPA ultérieur et c) de toute modification du montant d’un DPA. Vous acceptez également que cette convention de DPA soit confirmée par l’envoi d’une copie dans les cinq (5) jours civils suivant le premier DPA débité de votre compte.
c. Vous avez certains droits de recours si un DPA n’est pas conforme à cette convention de DPA. Par exemple, vous avez droit à un remboursement pour tout dédit non autorisé ou non conforme à la convention de DPA. Pour obtenir plus de renseignements sur vos droits de recours, veuillez communiquer avec votre banque ou institution financière ou visiter le site www.paiements.ca.
d. Vous reconnaissez que la résiliation de cette convention DPA ne met pas fin à vos obligations envers nous ou envers un marchand, ne les annule pas et n’a aucune incidence sur ces obligations. Vous comprenez qu’après une telle résiliation, vous êtes toujours tenu d’effectuer les paiements dus en utilisant un autre mode de paiement.
e. Si un DPA est refusé en raison d’une insuffisance de fonds ou pour une raison autre que votre révocation de cette convention de DPA, vous nous autorisez à soumettre à nouveau le DPA. Votre banque ou institution financière peut vous imposer des frais si votre compte est à découvert ou si les fonds sont insuffisants. Vous convenez que nous ne sommes pas responsables des frais connexes (y compris les frais qui peuvent vous être imposés ou nous être imposés par la banque à la suite de l’échec d’un DPA).
f. Si nous commettons une erreur dans le traitement d’un paiement à partir de votre compte, vous nous autorisez à corriger l’erreur au moyen d’un débit ou d’un crédit sur le compte, selon le cas, conformément aux règles de Paiements Canada.
g. Nous pouvons céder cette autorisation, directement ou indirectement, aux fins de l’application de la loi, de changement de contrôle ou autrement, à condition de vous en informer par écrit et de vous communiquer l’identité et les coordonnées du cessionnaire.
h. Vous déclarez et garantissez que vous avez le pouvoir, en vertu des conditions de la convention de votre compte, d’autoriser les DPA et que la ou les personnes dont la signature est requise sur le compte ont autorisé cette convention de DPA. Vous acceptez de nous informer rapidement de toute modification des renseignements relatifs à votre compte et, le cas échéant, de nous fournir un nouveau mode de paiement et d’autoriser les paiements à partir de ce nouveau compte.
i. Si vous avez des questions concernant cette convention de DPA, veuillez communiquer avec nous à partir de l’adresse suivante.
6. Choix de la date de paiement. Pour autant que cette fonction soit mise à votre disposition, vous pouvez préciser la date de paiement de chaque facture que vous recevez. Le jour du paiement, nous débiterons votre compte ou votre carte de crédit du montant de la facture. Il vous incombe de veiller à ce que la date de paiement de chaque facture n’entraîne pas de frais de retard, de découvert ou de provisions insuffisantes pouvant être facturés par votre banque, l’émetteur de votre carte de crédit ou le marchand auquel vous envoyez un paiement. Vous accordez à Intuit le droit de soumettre à nouveau les paiements rejetés, refusés ou invalides que vous avez autorisés, et de lancer à nouveau votre opération de paiement conformément à la loi applicable et, le cas échéant, aux conditions de la convention de DPA.
7. Paiements récurrents (réguliers); opposition au paiement. Si vous souhaitez utiliser le service de paiement pour permettre à un marchand de facturer un montant récurrent ou régulier, vous autorisez le marchand, et Intuit en tant que mandataire du marchand, à débiter électroniquement votre compte ou votre carte de crédit à la fréquence que vous indiquez, à condition que cette fonction soit mise à votre disposition. Cette autorisation de paiement restera pleinement en vigueur jusqu’à ce que vous nous informiez de son annulation en envoyant un avis écrit dans un délai et d’une manière permettant à la fois à Inuit et à toute institution financière destinataire d’avoir une possibilité raisonnable d’agir en conséquence. Vous pouvez également annuler un paiement individuel en vous connectant à votre compte au moins 24 heures avant la date de paiement indiquée. Des frais d’opposition au paiement peuvent s’appliquer si la demande d’opposition au paiement est faite dans les 24 heures de la date de paiement indiquée, et il se peut que les demandes faites dans ce délai ne réussissent pas à faire opposition au paiement.
8. Erreurs et opérations non autorisées. Vous devez nous informer immédiatement si vous avez des raisons de croire que l’une des activités suivantes a eu lieu : i) Une facture non autorisée a été payée à partir de votre compte. ii) Vous remarquez des erreurs. iii) Vos identifiants de compte ont été compromis. Nous pourrions vous demander d’envoyer votre plainte ou votre question par écrit. Si nous découvrons une erreur de traitement, nous la corrigerons. Si l’erreur vous a amené à payer un montant supérieur à ce que vous aviez autorisé, Intuit vous créditera la différence. Si l’erreur vous amène à payer un montant inférieur à ce que vous aviez autorisé, Intuit débitera les fonds supplémentaires de votre mode de paiement.
9. Paiements invalides ou refusés. Intuit peut suspendre, retarder ou annuler un paiement traité si Intuit estime qu’une opération : 1) est invalide; 2) découle d’une mauvaise conduite ou d’une fraude; 3) viole la loi applicable, les conditions de cette convention ou les politiques d’Intuit. Vous acceptez de coopérer avec Intuit et de fournir toute information qui pourrait être raisonnablement demandée par Intuit dans le cadre de son enquête sur toute opération invalide ou refusée. En outre, vous acceptez et comprenez que le marchand n’est pas tenu d’accepter votre paiement. Vous acceptez de ne pas tenir Intuit responsable de tout dommage résultant de la décision d’un marchand de ne pas accepter un paiement. Intuit tentera de créditer tout paiement refusé sur votre compte ou votre carte de crédit.
10. Remboursements. Tout marchand est tenu d’afficher une politique d’échange ou de retour conformément aux règles applicables, notamment celles qui peuvent être émises par les réseaux de cartes de crédit et l’industrie des cartes de paiement. Si l’un des éléments suivants s’applique au retour de marchandises, le marchand doit l’avoir intégré dans sa politique : a) aucun remboursement, complet ou partiel, ne sera accordé; b) la marchandise retournée sera uniquement échangée contre une marchandise semblable de valeur comparable; c) seul un crédit sur les achats sera accordé; ou d) des conditions ou des circonstances particulières s’appliquent à la vente (p. ex., livraison tardive, frais ou autres conditions qui ne sont pas en lien avec le crédit). Vous comprenez que la politique d’échange ou de retour d’un marchand est émise par le ce dernier et non par Intuit, et que votre recours pour toute violation de la politique est entre vous et le marchand.
11. Restrictions. En tant qu’utilisateur, vous devez avoir atteint l’âge de la majorité dans votre province de résidence et résider en permanence au Canada. De plus, vous vous engagez, en tant qu’utilisateur, à ne pas faire ce qui suit :
- Fournir des informations fausses, inexactes ou trompeuses à Intuit.
- Utiliser le service de paiement ou tout autre service d’Intuit pour envoyer ou recevoir des fonds frauduleux ou effectuer toute autre opération liée à des activités illégales.
- Modifier, dupliquer ou perturber le service, les serveurs connexes ou les réseaux par voie manuelle ou par l’utilisation de scripts, de virus ou de vers.
- Tenter d’accéder aux autres systèmes d’Intuit qui ne font pas partie du service.
- Surcharger de manière excessive les systèmes d’Intuit utilisés pour fournir le service.
- Utiliser le service de paiement ou tout autre service d’Intuit pour envoyer des courriels non sollicités à des tiers.
12. Limitations des montants ou de la fréquence des opérations. Intuit peut, à sa discrétion exclusive, imposer des limites au nombre et/ou à la fréquence des factures que vous pouvez régler à l’aide du service de paiement. Intuit peut refuser toute facture dépassant ces limites.
13. Vérification de l’identité. Avant qu’Intuit ne traite votre premier paiement de facture, elle pourrait être amenée à vérifier les renseignements sur votre compte. Le processus de vérification peut inclure l’envoi de messages texte, d’appels vocaux ou de messages vocaux automatisés. Si vous nous avez communiqué votre numéro de téléphone mobile, vous acceptez que nous envoyions des messages texte ou vocaux à ce numéro, y compris des appels automatiques ou préenregistrés. Le processus de vérification peut comprendre le débit d’un montant compris entre 0,01 $ et 0,99 $ de votre compte bancaire, puis le crédit immédiat du même montant sur votre compte bancaire. Vous devez confirmer le montant débité pour vérifier votre compte bancaire. Intuit utilise ce processus de vérification uniquement pour réduire les risques de fraude et ne débite pas votre compte bancaire pour d’autres raisons, à l’exception de votre utilisation du service de paiement.
14. Responsabilité d’Intuit en cas d’échec des opérations ou de retard dans le traitement des paiements. Si vous avez fourni des renseignements inexacts ou incorrects, Intuit n’est pas responsable de l’impossibilité d’effectuer le paiement de votre facture à la date de paiement ou pour le bon montant. Tous les frais liés à un retard de paiement imposés par le marchand auquel vous envoyez un paiement sont votre responsabilité exclusive. Intuit déploiera des efforts raisonnables pour vous informer que votre opération de paiement a échoué, mais il vous incombe entièrement de vous assurer de l’envoi et de la réception du bon montant, et de l’acceptation du paiement par le marchand. Le délai moyen de traitement est généralement de deux (2) à trois (3) jours ouvrables, mais il peut être plus long en raison de retards du système bancaire ou d’autres facteurs indépendants de la volonté d’Intuit.
15. Sites de réseaux sociaux. Intuit peut proposer des expériences sur des plateformes de médias sociaux comme Facebook®, Twitter® et LinkedIn® qui permettent le partage et la collaboration en ligne entre les utilisateurs qui se sont inscrits pour les utiliser. Tout contenu que vous publiez, comme des images, des informations, des opinions ou des renseignements personnels que vous mettez à la disposition d’autres participants sur ces sites de réseaux sociaux, est soumis aux conditions d’utilisation et aux politiques de confidentialité de ces sites. Veuillez vous référer à ces sites de réseaux sociaux pour comprendre clairement vos droits et obligations concernant ce type de contenu.
16. Consentement à la conduite des affaires par voie électronique et téléphonique. Vous acceptez que nous puissions vous envoyer des communications par courriel et que nous puissions mettre des communications à votre disposition en les publiant sur un ou plusieurs de nos sites Web ou de nos produits, notamment https://www.intuit.com/fr-ca/, le portail en ligne d’Intuit où vous payez vos factures, etc.
17. Vos renseignements personnels. Vous acceptez la déclaration de confidentialité d’Intuit et tous les changements publiés par Intuit. Vous acceptez qu’Intuit utilise et gère vos renseignements personnels conformément à sa déclaration de confidentialité dans le cadre des services. Vous autorisez Intuit à combiner les renseignements identifiables et non identifiables que vous saisissez ou téléversez dans le cadre des services avec les données d’autres utilisateurs de tous les services d’Intuit. Par exemple, Intuit pourrait utiliser vos renseignements personnels non identifiables et agrégés, ainsi que ceux d’autres utilisateurs, pour améliorer les services ou pour créer des promotions et vous permettre de comparer vos pratiques commerciales avec celles d’autres utilisateurs. Nous pouvons fournir aux marchands des recommandations ou des conseils facultatifs pour les aider à optimiser leurs activités, selon l’historique et les performances des opérations. Vous acceptez que nous puissions utiliser l’historique de vos opérations et vos données de performance à cette fin. Intuit est une société mondiale et, à ce titre, elle pourrait accéder à des renseignements personnels ou les stocker dans plusieurs pays, y compris à l’extérieur du vôtre, dans la mesure où la loi applicable le permet.
18. Utilisation avec votre appareil mobile. Il peut être possible d’utiliser ces services à partir d’un appareil mobile compatible, à condition que ce dernier soit doté d’un accès à Internet et du logiciel requis. Vous convenez que vous avez l’entière responsabilité de respecter ces exigences, y compris les changements, mises à jour et frais applicables, ainsi que les conditions de votre contrat avec votre fournisseur d’appareils mobiles et de télécommunications.
INTUIT N’ACCORDE AUCUNE GARANTIE ET NE FAIT AUCUNE DÉCLARATION DE QUELQUE NATURE QUE CE SOIT, QU’ELLE SOIT EXPRESSE, LÉGALE OU IMPLICITE, QUANT À CE QUI SUIT :
i) LA DISPONIBILITÉ DES SERVICES DE TÉLÉCOMMUNICATION ASSURÉS PAR VOTRE FOURNISSEUR ET L’ACCÈS AUX SERVICES À TOUT MOMENT ET EN TOUT LIEU;
ii) LES PERTES, DOMMAGES OU INTRUSIONS DE SÉCURITÉ DES SERVICES DE TÉLÉCOMMUNICATIONS;
iii) TOUTE DIVULGATION D’INFORMATION À DES TIERS OU TOUT DÉFAUT DE TRANSMISSION DE DONNÉES, COMMUNICATIONS OU RÉGLAGES RELATIFS AUX SERVICES.
19. EXCLUSION DE GARANTIES.
A. SI VOUS ÊTES UN CONSOMMATEUR DU QUÉBEC, CETTE DISPOSITION NE S’APPLIQUE PAS À VOUS. VOTRE UTILISATION DES SERVICES, DES LOGICIELS ET DU CONTENU SE FAIT ENTIÈREMENT À VOS RISQUES. À L’EXCEPTION DE CE QUI EST PRÉVU DANS LA PRÉSENTE CONVENTION, LES SERVICES VOUS SONT FOURNIS « EN L’ÉTAT ». DANS LA PLEINE MESURE PERMISE PAR LA LOI APPLICABLE, INTUIT, SES SOCIÉTÉS AFFILIÉES, AINSI QUE LEURS PRESTATAIRES DE SERVICES TIERS, CONCÉDANTS DE LICENCE, DISTRIBUTEURS ET FOURNISSEURS (COLLECTIVEMENT, LES « FOURNISSEURS ») DÉCLINENT TOUTE GARANTIE OU CONDITION, QU’ELLES SOIENT EXPRESSES OU IMPLICITES, Y COMPRIS TOUTE GARANTIE OU CONDITION SELON LAQUELLE LES SERVICES SONT ADAPTÉS À UN USAGE PARTICULIER, AINSI QUE TOUTE GARANTIE DE TITRE, DE QUALITÉ MARCHANDE, DE PROTECTION CONTRE LA PERTE DE DONNÉES, D’ABSENCE D’INTERFÉRENCE, DE CONTREFAÇON OU D’APPROPRIATION ILLICITE DES DROITS DE PROPRIÉTÉ INTELLECTUELLE, D’EXACTITUDE, DE FIABILITÉ OU DE QUALITÉ DU CONTENU DANS LES SERVICES OU LIÉ À CEUX-CI. INTUIT, SES SOCIÉTÉS AFFILIÉES ET SES FOURNISSEURS NE GARANTISSENT PAS QUE LES SERVICES SONT SÉCURITAIRES, EXEMPTS DE BOGUES ET DE VIRUS, NI À L’ABRI DES INTERRUPTIONS, DES ERREURS, DU VOL OU DE LA DESTRUCTION. SI LES EXCLUSIONS DE GARANTIES OU CONDITIONS IMPLICITES NE S’APPLIQUENT PAS À VOUS, LES GARANTIES OU CONDITIONS IMPLICITES SONT LIMITÉES À UNE PÉRIODE DE 60 JOURS À COMPTER DE LA DATE D’ACHAT OU DE LA FOURNITURE DES SERVICES, SELON LA PREMIÈRE DE CES ÉVENTUALITÉS. CERTAINES PROVINCES N’AUTORISENT PAS L’EXCLUSION DE GARANTIES OU CONDITIONS IMPLICITES, SI BIEN QUE LES EXCLUSIONS ÉNONCÉES CI-DESSUS NE S’APPLIQUENT PEUT-ÊTRE PAS À VOUS. LA PRÉSENTE GARANTIE VOUS ACCORDE CERTAINS DROITS, ET VOUS POUVEZ EN AVOIR D’AUTRES, LESQUELS VARIENT D’UNE PROVINCE À L’AUTRE. INTUIT ET SES SOCIÉTÉS AFFILIÉES, AINSI QUE LEURS FOURNISSEURS DÉCLINENT TOUTE DÉCLARATION OU GARANTIE SELON LAQUELLE VOTRE UTILISATION DES SERVICES ASSURERA LA CONFORMITÉ À TOUTE OBLIGATION LÉGALE OU AUX LOIS ET RÈGLEMENTS.
B. SI VOUS ÊTES UN CONSOMMATEUR DU QUÉBEC, LA SEULE GARANTIE APPLICABLE DANS LE CADRE DE CETTE CONVENTION ET DES SERVICES EST LA GARANTIE LÉGALE PRÉVUE PAR LE CODE CIVIL DU QUÉBEC ET TOUTE GARANTIE PRÉVUE PAR LA LOI SUR LA PROTECTION DU CONSOMMATEUR (QUÉBEC).
20. LIMITATION DE RESPONSABILITÉ.
A. SI VOUS ÊTES UN CONSOMMATEUR DU QUÉBEC, CETTE DISPOSITION NE S’APPLIQUE PAS À VOUS. DANS LA PLEINE MESURE PERMISE PAR LA LOI APPLICABLE, LA RESPONSABILITÉ ENTIÈRE D’INTUIT, DE SES SOCIÉTÉS AFFILIÉES ET DE LEURS FOURNISSEURS POUR TOUTES RÉCLAMATIONS AYANT TRAIT À LA PRÉSENTE CONVENTION SE LIMITE AU MONTANT QUE VOUS AVEZ PAYÉ POUR LES SERVICES AU COURS DES DOUZE (12) MOIS QUI PRÉCÈDENT LA RÉCLAMATION. SOUS RÉSERVE DE LA LOI APPLICABLE, INTUIT ET SES SOCIÉTÉS AFFILIÉES, AINSI QUE LEURS FOURNISSEURS NE SONT PAS RESPONSABLES DE CE QUI SUIT : A) LES DOMMAGES INDIRECTS, PARTICULIERS, ACCESSOIRES, EXEMPLAIRES OU PUNITIFS; B) LES DOMMAGES RELATIFS AUX DÉFAILLANCES DES TÉLÉCOMMUNICATIONS, D’INTERNET ET DES COMMUNICATIONS ÉLECTRONIQUES, À LA CORRUPTION, À L’ATTEINTE À LA SÉCURITÉ, À LA PERTE OU AU VOL DE DONNÉES, AUX VIRUS, AUX LOGICIELS ESPIONS, À LA PERTE DE CLIENTÈLE, DE REVENUS, DE BÉNÉFICES OU D’INVESTISSEMENT OU À L’UTILISATION DE LOGICIELS OU DE MATÉRIEL QUI NE RÉPONDENT PAS AUX EXIGENCES SYSTÈME D’INTUIT. LES LIMITATIONS QUI PRÉCÈDENT S’APPLIQUENT NONOBSTANT LA DIVULGATION DE LA POSSIBILITÉ DE TELS DOMMAGES À INTUIT, À SES SOCIÉTÉS AFFILIÉES ET À LEURS FOURNISSEURS. LA PRÉSENTE CONVENTION ÉNONCE LA RESPONSABILITÉ TOTALE D’INTUIT ET DE SES SOCIÉTÉS AFFILIÉES, ET VOTRE RECOURS EXCLUSIF RELATIVEMENT AUX SERVICES ET À LEUR UTILISATION.
B. SI VOUS ÊTES UN CONSOMMATEUR DU QUÉBEC, SOUS RÉSERVE DE LA LOI APPLICABLE, INTUIT ET SES FOURNISSEURS NE SONT PAS RESPONSABLES DE CE QUI SUIT : LES DOMMAGES RELATIFS AUX DÉFAILLANCES DES TÉLÉCOMMUNICATIONS, D’INTERNET ET DES COMMUNICATIONS ÉLECTRONIQUES, À LA CORRUPTION, À L’ATTEINTE À LA SÉCURITÉ, À LA PERTE OU AU VOL DE DONNÉES, AUX VIRUS, AUX LOGICIELS ESPIONS OU À L’UTILISATION DE LOGICIELS OU DE MATÉRIEL QUI NE RÉPONDENT PAS AUX EXIGENCES SYSTÈME D’INTUIT.
21. Indemnisation. Vous acceptez d’indemniser et de tenir à couvert Intuit, ses sociétés affiliées et ses fournisseurs relativement aux réclamations, responsabilités et dépenses, y compris les honoraires et les frais juridiques raisonnables pour une indemnisation complète, qui découlent de votre utilisation des services ou de votre violation de la présente convention, y compris les réclamations de tiers (collectivement, les « réclamations »).
Intuit se réserve le droit, à sa discrétion exclusive et à ses frais, d’assumer la défense et le contrôle exclusifs à l’égard de toute réclamation. À la demande d’Intuit, vous acceptez de collaborer raisonnablement dans la défense contre toute demande d’indemnisation.
22. Restrictions à l’exportation. Vous reconnaissez que le service de paiement, y compris l’application mobile et le logiciel sous-jacent, est soumis aux restrictions et aux contrôles imposés par la Loi sur les licences d’exportation et d’importation (Canada), les règlements en découlant ainsi que les règlements de contrôle des exportations des États-Unis, administrés par le département du Commerce des États-Unis (15 CFR, chapitre VII[QA1]), et vous vous engagez à respecter l’ensemble des lois et des règlements applicables. Il vous est interdit d’exporter ou de réexporter le service de paiement, en tout ou en partie, de manière à violer, directement ou indirectement, les lois et règlements du Canada ou des États-Unis en matière d’administration des exportations. Vous reconnaissez en outre que le logiciel sous-jacent peut inclure des données techniques soumises à ces règlements du Canada ou des États-Unis en matière d’exportation.
23. Droit applicable. Sauf si vous êtes au Québec, la présente convention est régie par les lois de l’Ontario et les lois fédérales canadiennes, sans égard à leurs dispositions sur les conflits de lois. Vous vous soumettez à la compétence exclusive de l’Ontario et des tribunaux de cette province. Si vous êtes un consommateur du Québec, la présente convention est régie par les lois du Québec et les lois fédérales canadiennes qui y sont applicables. Vous vous soumettez à la compétence exclusive du Québec et des tribunaux de cette province. Intuit n’affirme d’aucune manière que les services peuvent être utilisés ou sont disponibles dans tous les pays. Vous accédez aux services de votre propre initiative et il vous incombe de vous conformer à l’ensemble des lois applicables.
24. Langue. Par les présentes, les parties confirment qu’elles ont exigé que la présente convention et tous les documents connexes soient rédigés en français. The parties hereby confirm that they have requested that this Agreement and all related documents be drafted in French.
25. Généralités. La présente convention énonce l’intégralité de l’entente entre vous et Intuit concernant son objet et remplace les ententes, les communications et les accords antérieurs, qu’ils soient verbaux ou écrits, relativement à son objet. Si un tribunal compétent déclare qu’une partie de cette convention est invalide, cette partie sera supprimée sans effet sur le reste de la convention. Les dispositions restantes demeureront valides et exécutoires. La Convention des Nations Unies sur les contrats de vente internationale de marchandises ne s’applique pas à la présente convention. Vous ne pouvez ni céder ni transférer la présente convention à quiconque sans avoir obtenu l’autorisation écrite d’Intuit. Toutefois, Intuit peut céder ou transférer la présente convention sans votre consentement a) à une société affiliée, b) à une entreprise par la vente d’actifs par Intuit ou c) à une entreprise remplaçante par voie de fusion. Toute cession qui est contraire au présent article sera frappée de nullité. Si vous désirez demander le transfert de cette convention, envoyez un courriel à l’adresse transfer_license@intuit.com.
26. Consentement aux communications électroniques. Vous acceptez de recevoir ces communications par voie électronique. Le terme « communications » désigne tout avis, dossier, convention ou autre type de renseignement qui est mis à votre disposition ou reçu de votre part en relation avec le service de paiement ou les services de tiers. La décision de faire des affaires par voie électronique vous appartient, et vous devriez confirmer que vous avez les capacités matérielles et logicielles requises décrites ci-dessous. Votre consentement à faire des affaires par voie électronique et notre convention à cet égard couvrent toutes les opérations que vous effectuez au moyen du service de paiement. Pour pouvoir accéder à un dossier de communications électroniques et le conserver, vous aurez besoin d’un ordinateur, d’un écran, d’une connexion à un fournisseur de services Internet, d’un logiciel de navigation Internet prenant en charge le chiffrement à 128 bits et d’une adresse courriel. Selon le cas, en sélectionnant le bouton « J’accepte » ou « S’inscrire », vous nous confirmez que vous avez les moyens d’accéder aux communications et de les imprimer ou de les télécharger. Nous ne fournissons pas de services d’accès à Internet. Vous devez disposer de votre propre fournisseur d’accès à Internet.
27. Retrait du consentement aux communications électroniques. Si vous décidez ultérieurement que vous ne souhaitez plus recevoir de communications par voie électronique, écrivez-nous à Privacy Team, Intuit, Inc, 2800 East Commerce Center Place Tucson, AZ 85706. Si vous retirez votre consentement à recevoir des communications par voie électronique, nous pouvons mettre fin à votre utilisation du service de paiement.
28. Modifications de votre adresse courriel. Vous acceptez de nous informer rapidement de toute modification de votre adresse courriel. Vous pouvez le faire en vous connectant à l’adresse https://privacy.intuit.com/cpi/do/signin et en suivant les instructions pour soumettre un commentaire au SPI (veuillez inclure votre ancienne et votre nouvelle adresse courriel).
29. Résiliation. Intuit peut, à sa discrétion exclusive et sans préavis, restreindre, refuser ou résilier la présente convention ou suspendre votre accès au service de paiement ou à d’autres services, en tout ou en partie et sans délai, si Intuit détermine que votre utilisation du service de paiement viole la convention, est inappropriée, excède sensiblement l’utilisation normale d’autres utilisateurs ou en diffère notablement, ou suscite des soupçons de fraude, d’utilisation abusive, de menace à la sécurité, d’activité illégale ou de problèmes d’accès non autorisés; pour protéger l’intégrité ou la disponibilité du service de paiement ou des systèmes et faire respecter sa politique applicable; si vous n’acceptez plus de recevoir des communications électroniques; ou si votre utilisation du service de paiement va à l’encontre des intérêts d’Intuit ou de ceux d’un autre utilisateur du service de paiement. Vous devez cesser immédiatement votre utilisation du service de paiement à compter du moment de la résiliation et vous devez vous acquitter, le cas échéant, de toute somme due. La résiliation de la présente convention n’a aucune incidence sur les droits d’Intuit aux paiements qui lui sont dus.
